SCHEDULE 1 to Partner Terms & Conditions -Christmas 2026 Promo

Partner 0% Commission Promotion

1. Promoter

The promoter is Okuru Pty Ltd (Okuru). This Promotional Schedule forms part of, and should be read together with, the Okuru Partner Terms and Conditions.

2. Promotion Period

The promotion begins at 12:00 am AWST on 1 October 2026 and ends at 11:59 pm AWST on 31 December 2026 (Promotion Period).

3. Eligible Partners

The promotion is available to approved Okuru business partners participating in the Australian Okuru marketplace during the Promotion Period, including approved existing partners and approved new partners, unless Okuru has notified a partner in writing that it is ineligible due to suspension, fraud, misuse, breach of the Partner Terms or another legitimate compliance reason.

4. Promotional Commission Rate

For qualifying gift card sales completed through the Okuru platform during the Promotion Period, Okuru’s usual 7.5% sales commission will be reduced to 0%.

5. What the 0% Rate Covers

The 0% rate applies only to Okuru’s standard sales commission. Any other fees, charges, taxes, refunds, chargebacks, payment-processing arrangements, reversals, fraud losses or other amounts that are dealt with under the Partner Terms continue to be governed by those terms unless Okuru expressly confirms otherwise in writing.

6. Qualifying Sales

A sale qualifies when the customer’s payment is successfully completed and the gift card transaction is accepted by Okuru during the Promotion Period. Cancelled, refunded, reversed, fraudulent or chargeback transactions do not create an entitlement to a promotional commission benefit.

7. Settlement and Redemption

Except for the temporary reduction of Okuru’s commission to 0%, the existing settlement, redemption, expiry, refund, customer-service and partner obligations remain unchanged.

8. End of Promotion

From 12:00 am AWST on 1 January 2027, Okuru’s standard 7.5% commission will automatically apply to qualifying gift card sales, unless Okuru and the partner have agreed to another rate in writing. The date the partner originally joined Okuru does not extend the promotional period.

9. No Guarantee of Sales

Participation in the promotion does not guarantee any minimum number or value of gift card sales, customer enquiries, redemptions or other commercial outcome.

10. Partner Conduct

Partners must continue to comply with all Okuru Partner Terms, applicable laws, advertised customer offers and redemption obligations during and after the Promotion Period.

11. Misuse and Fraud

Okuru may withhold the promotional commission treatment from transactions reasonably identified as fraudulent, manipulated, self-generated for the purpose of obtaining a promotional benefit, or otherwise in breach of the Partner Terms. Okuru should document the reason for any such decision.

12. Changes to the Promotion

Okuru may make reasonable changes to the administration of the promotion where required by law, regulation, platform security, fraud prevention or circumstances outside Okuru’s reasonable control. Okuru will not retrospectively remove a valid promotional benefit already earned on an eligible completed sale except where fraud, error or breach is established.

13. Relationship with Partner Terms

If this Promotional Schedule conflicts with the Partner Terms, this Schedule applies only to the temporary commission rate and only for the Promotion Period. All other provisions of the Partner Terms continue to apply.
