Okuru Terms of Service

Mobile App Terms of Service

Consumer terms for use of the Okuru App and Marketplace

Important

These Terms govern your use of Okuru. Partner Gift Cards are issued by the business named on the gift card. Okuru provides the marketplace and technology used to purchase, deliver, store and manage those cards.

1. About these Terms

These Terms of Service (Terms) apply when you create an Okuru account, access the Okuru mobile application, website or related services, or purchase or use a digital gift card through Okuru (Service).

The Service is operated by Okuru Pty Ltd (Okuru, we, us or our), an Australian company based in Western Australia. By creating an account or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

Nothing in these Terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

2. Key definitions

Term Meaning
Gift Card a digital gift card made available through the Service.
Partner a participating business that offers its own Partner Gift Cards through the Okuru marketplace.
Partner Gift Card a Gift Card displaying the name, brand or logo of a Partner and issued by that Partner.
Okuru-issued product a gift card, stored-value product or reward expressly identified as being issued by Okuru or another named issuer rather than a Partner.
Recipient the person who receives or holds a Gift Card.
User a person who creates an Okuru account or otherwise uses the Service.

3. Eligibility and account registration

You must have legal capacity to enter into a binding contract in your place of residence. The Service is not intended for children under 16. Where a person under the age of majority is permitted by law to use the Service, they must have the consent and supervision of a parent or legal guardian where required.

·  You must provide accurate and current registration information.

·  You must not impersonate another person or create an account for another person without authority.

·  You are responsible for keeping your login credentials secure and must promptly tell us if you suspect unauthorised access.

·  We may suspend or restrict an account where reasonably necessary for security, fraud prevention, legal compliance or a material breach of these Terms.

4. Okuru's role

Okuru operates a digital marketplace and technology platform through which participating businesses may offer digital gift cards. For Partner Gift Cards, Okuru facilitates discovery, purchase, payment processing, delivery, storage, transfer where available, balance administration and redemption technology.

Unless expressly stated otherwise, a Partner Gift Card is issued by the Partner named or branded on the Gift Card and not by Okuru. The Partner is the supplier of the goods or services obtained when that Partner Gift Card is redeemed.

Any Okuru-issued product will be clearly identified separately and may be subject to additional product-specific terms.

5. Purchase of Partner Gift Cards

Before purchasing a Partner Gift Card, you should review the Partner's applicable gift card terms, redemption conditions, locations, booking requirements and any lawful restrictions displayed in the App or otherwise made available to you.

Your purchase of a Partner Gift Card creates an obligation on the issuing Partner to honour that Gift Card in accordance with applicable law and the applicable gift card terms.

Okuru may receive a commission or other agreed fee from the Partner for facilitating a sale. This does not make Okuru the issuer of a Partner Gift Card.

6. Payment and delivery

Payments are processed through third-party payment providers made available through the Service. Okuru does not store full payment card details unless expressly stated and permitted by law. After successful payment and completion of applicable fraud and security checks, the Gift Card will be delivered to the relevant Okuru wallet. There may be occasions when our system flags a possible use of a compromised credit card and it may take a few hours for us to check. Please contact us if a purchased Gift Card is not delivered correctly or within 6 hours.Okuru may delay, refuse or reverse a transaction where reasonably necessary to address suspected fraud, payment failure, chargeback risk, legal or regulatory requirements, or an obvious technical or pricing error.

7. Redemption and balances

A Partner Gift Card must be redeemed with the issuing Partner and is subject to the Partner's lawful redemption conditions. Okuru provides redemption technology but does not itself supply the Partner's goods or services.

Where partial redemption is supported, any unused balance remains available subject to the Gift Card's validity and applicable law. Balances shown in the App are based on transaction records available to Okuru. If you believe a balance is incorrect, contact us so we can investigate.

8. Expiry and statutory gift card rights

Gift Card expiry dates and conditions will be displayed where applicable. Australian gift cards are subject to statutory minimum expiry requirements and other rules under applicable law, except where a lawful exemption applies. If a displayed term conflicts with a mandatory legal requirement, the mandatory legal requirement prevails.

9. If a Partner leaves Okuru, closes or becomes insolvent

A Partner's departure from the Okuru marketplace does not, by itself, cancel valid Partner Gift Cards already issued for that Partner. The issuing Partner remains responsible for outstanding Partner Gift Cards and unused balances.

A Partner may cease trading, sell or transfer its business, enter administration or liquidation, or otherwise become unable to honour an outstanding Partner Gift Card. Subject to rights that cannot lawfully be excluded, Okuru is not required to reimburse the value of a Partner Gift Card solely because the issuing Partner has ceased trading, become insolvent or is otherwise unable to honour the Gift Card.

In those circumstances, the Gift Card holder's rights will ordinarily be against the issuing Partner or, where applicable, its administrator, liquidator, receiver, successor or purchaser of the business. Okuru may provide reasonable assistance, including relevant transaction information and contact details, where lawful and appropriate.

This section does not limit any liability Okuru may have for its own conduct, including any misleading representation, failure to provide the Okuru Service with due care and skill where required by law, or other liability that cannot lawfully be excluded.

10. Transfers, gifts and recipients

Where the Service allows you to send or transfer a Gift Card, you are responsible for entering the correct recipient details. A Recipient may need an Okuru account to claim or manage a Gift Card. A transfer does not change the identity of the issuing Partner or the applicable Gift Card terms.

11. Refunds, cancellations and mistaken purchases

Gift Cards are generally not refundable for change of mind unless the issuing Partner's terms, Okuru's applicable product terms or the law provides otherwise. Nothing in this section limits any statutory right to a refund or other remedy.

If you believe a transaction was unauthorised, duplicated, incorrectly processed or affected by a technical error, contact us promptly.

12. Acceptable use

·  Use the Service only for lawful purposes.

·  Do not provide false or misleading information, impersonate another person, interfere with security controls, attempt unauthorised access, introduce malicious code or misuse another person's account.

·  Do not use the Service for fraud, money laundering, sanctions evasion, unlawful resale or any activity prohibited by applicable law.

·  Do not reverse engineer, copy or commercially exploit the Service except as permitted by law or with our written permission.

13. Service availability and changes

We aim to keep the Service available and secure, but we do not promise uninterrupted or error-free operation. We may maintain, update, change, suspend or discontinue features where reasonably necessary for security, legal, technical or business reasons. Where a change materially affects existing rights, we will take reasonable steps to notify affected users.

14. Third-party services and Partner information

The Service may contain links to or integrate with third-party websites, payment providers and services. Their terms and privacy practices may apply separately. Okuru is not responsible for third-party content or services that are outside Okuru's control.

Partners are responsible for the accuracy of information they provide about their businesses, Gift Cards, products and services. Okuru may review or remove content where reasonably necessary, but does not guarantee that every Partner statement is complete or current.

15. Intellectual property

Okuru and its licensors own the intellectual property rights in the Service, software, designs, branding and content supplied by Okuru. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for its intended purpose.

Partner names, logos and other Partner materials remain the property of the relevant Partner or its licensors.

16. Privacy

Our Privacy Notice explains how we collect, use, disclose, protect and retain personal information. By using the Service, you acknowledge that personal information will be handled as described in that notice and in accordance with applicable privacy law.

17. Consumer guarantees and our responsibility

Okuru is responsible for the services that Okuru itself provides. To the extent required by the Australian Consumer Law, those services come with guarantees that cannot be excluded, including that services will be provided with due care and skill and be reasonably fit for a disclosed purpose where the law applies.

For Partner Gift Cards, the issuing Partner is responsible for honouring the Gift Card and supplying the Partner's goods or services. Okuru does not guarantee the Partner's future solvency, continued operation or ability to supply, except to the extent Okuru has made a specific representation or has a liability that cannot lawfully be excluded.

18. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so. Subject to that qualification, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable as a result of the relevant breach.

To the extent permitted by law, where Okuru is liable for failure to comply with a guarantee relating to services and the law permits that liability to be limited, our liability may be limited to supplying the relevant services again or paying the cost of having those services supplied again.

19. Suspension and termination

You may stop using the Service and request closure of your account at any time. We may suspend or terminate access where reasonably necessary because of fraud or security concerns, legal requirements, serious or repeated breach of these Terms, or discontinuation of the Service. Account closure does not extinguish rights or obligations relating to transactions completed before closure.

20. Complaints and disputes

If you have a complaint, please contact customer.care@okuru.app first so we can try to resolve it promptly and in good faith. Nothing in these Terms prevents you from exercising rights available through a regulator, consumer protection body, tribunal or court where those rights cannot lawfully be restricted.

21. Governing law

These Terms are governed by the laws of Western Australia and applicable laws of Australia. Where mandatory consumer law gives you rights in another jurisdiction, those rights are not excluded by this clause.

22. Changes to these Terms

We may update these Terms from time to time. If a change materially affects your rights or obligations, we will take reasonable steps to notify you before or when the change takes effect. The version displayed in the Service will show its last updated date.

23. General

If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. We may assign or subcontract parts of the Service where this does not materially reduce your non-excludable rights.
